When a director of a UK private limited company resigns or a new director joins, the company may appoint a new director or accept the resignation of the current director by resolution of the board of director, and notify Companies House within 14 days of the approval of the change.
To handle the change of directors, it is necessary to provide the Certificate of Incorporation of the UK Company, the latest Confirmation Statement, the Articles of Incorporation, the identification documents of the new directors and the proof of address documents. Under normal circumstances, it takes about 2-3 working days to complete all the formalities for the change of directors of a UK company.
If a director resigns involuntarily but is removed by shareholders, the company will have to pass a special resolution of the shareholders to remove the current director, and the whole process will be more complicated and take longer.
