Our fees together with the first year maintenance fee for a Samoa readymade (shelf) company are USD1,160 excluding delivery fee. In particular, our fees cover:

(1)	Preparation and filing of incorporation documents with the Registrar for incorporation;
(2)	Payment of official filing fee;
(3)	Provision of first year registered office service;
(4)	Provision of first year registered agent service; and
(5)	One company kit.

An extra USD200 will be charged if the shelf company chosen comes with a Chinese name.

(1)	One photocopy of passport and residential addresses proof which issued not more than 3 months and in English (such as utility bill or telephone bill or bank statement) in respect of each shareholder; if shareholder is a corporation, please provide Certificate of Incorporation, latest registered office address proof, latest register of directors, latest register of members and register of ultimate beneficial owners, and the identity and residential address proof of each shareholder or Ultimate Beneficial Owner holding more than 10% of shares in that company;
(2)	One photocopy of passport and residential addresses proof which issued not more than 3 months and in English (such as utility bill or telephone bill or bank statement) in respect of each director; if director is a corporation, please provide Certificate of Incorporation and latest registered office address proof documents;
(3)	The latest organization chart certified by director for identification of ultimate beneficial owners; and
(4)	A duly completed and signed Company Incorporation Order Form (Provide by Kaizen).

The identification documents listed above must be certified by a staff of Kaizen, or by a CPA, lawyer or attesting officer. Client can visit any of our offices with the original identification documents of the shareholders and directors and our staff will perform certification.

The whole incorporation process for purchasing of a readymade company could be completed in 2 working days, excluding delivery time for sending the company kit to you.

(1)	Original copy of Certificate of Incorporation;
(2)	3 printed copy of Memorandum and Articles of Association;
(3)	Appointment of First Director, First Board Written Resolution, Registers of Directors, Members and others;
(4)	Issued Share Certificates(s); and
(5)	One signature chop and one Common Seal.

Step 1
You confirm and engage Kaizen to register your Samoa company by either sending Kaizen an email or fax. If so requested, Kaizen will prepare and sign an engagement letter with you.

Step 2
Kaizen email, fax or post the Samoa Readymade Companies List to you and you select at least two names in priority preference and confirm with Kaizen your selection.

At the same time, you provide the materials listed in Section 2 to Kaizen either by fax or scan and email.
Step 3
Kaizen check the availability of the selected readymade companies. If available, Kaizen proceed to registration; if not available, Kaizen will go back to you for more company names and perform the availability search again.

Step 4
Kaizen attend to the followings:

(1)	Printing Memorandum and Articles of Association;
(2)	Prepare minutes of First Board Meeting;
(3)	Prepare Application for Allotment of Share(s) for each shareholder;
(4)	Prepare Consent to Act as Director for each director;
(5)	Update Register of Members;
(6)	Update Register of Directors;
(7)	Prepare Share Certificate;
(8)	Carve Common Seal and rubber chop.

Step 5
Kaizen arrange to deliver the above documents/materials (together known as Company Kit) to you.

Step 6
Upon receipt of the Company Kit, you sign the following documents:
(1)   Application for allotment of shares;
(2)   Minutes of First Board Meeting;
(3)   Consent to Act as Director;
(4)   Share Certificate.
and then either fax or scan and email a copy of the duly signed documents as listed above to Kaizen. Registration procedures completed.

Annual maintenance cost for a company with a share capital of USD1,000,000 for second year and thereafter is USD950 which covers annual licence fee, annual registered agent and annual registered office fees.
