Limited company, limited company by shares and branch the aforementioned modes of Taiwan company shall submit the business report, financial statement and surplus earning distribution or loss off-setting proposals to shareholders or shareholder regular meeting for acknowledgement. The statement generated after the abovementioned procedure is finished is so-called final statement.
The content in business report is included the guideline of management, general situation, result of business plan, income and expense of operation, analysis of profit and research and development condition. Besides, the content in financial statement is included balance sheet, income statement, cash flow statement and statement of owner equity. In the circumstance that the amount of capital more than NTD30,000,000, the abovementioned statements shall be audited by an independent certified public accountant as well as be consented by shareholders or be acknowledged by shareholder regular meeting.
Abovementioned documents are required to be signed or stamped by the responsible person, managerial officer and accountant-in-charge and generated in traditional Chinese to maintain in the company.
The responsible person of company disobeys the abovementioned regulations shall be imposed with a fine not less than NTD10,000 but not more than NTD50,000. If such person evades, impedes, or refuses such verification or fails to declare within the prescribed period shall be imposed with a fine not less than NTD 20,000 but not more than NTD100,000.
